A quoted price is not binding unless it is included in a valid invoice, written proposal, purchase agreement, project agreement, membership agreement, or other written confirmation issued or approved by Fioro International.

SECTION 5 — PRODUCTS AND SERVICES

Certain products or Services may be available exclusively through private consultation, client allocation, invitation, invoice, direct communication, or the website.

Products may be offered in limited quantities and may be subject to separate return, exchange, warranty, service, allocation, customization, membership, deposit, or project terms.

We make reasonable efforts to display and describe products accurately. However, colors, proportions, finishes, textures, materials, gemstones, metals, engraving, plating, polishing, and other visual details may appear differently depending on lighting, photography, screens, production methods, and the natural characteristics of materials.

Product images may be illustrative, digitally rendered, enlarged, reduced, edited, or photographed under lighting conditions intended to show detail. They may not represent exact size, color, proportion, or appearance.

Natural gemstones, diamonds, precious metals, leather, wood, and other materials may contain variations in color, pattern, measurement, weight, clarity, texture, and appearance.

Custom, personalized, engraved, sized, altered, plated, repaired, sourced, manufactured-to-order, or specially allocated products may be final sale unless otherwise agreed in writing.

We reserve the right to:

  • Limit sales to any person, household, company, geographic region, or jurisdiction;

  • Limit product quantities;

  • Restrict products or Services to approved clients;

  • Require identity, payment, fraud, compliance, or eligibility verification;

  • Refuse a custom project, allocation, repair, transaction, or consultation;

  • Substitute components when reasonably necessary, provided the substitute is materially comparable;

  • Correct descriptions, specifications, pricing, or availability; and

  • Void an offer where prohibited by law.

We do not guarantee that a product, Service, custom design, consultation, program, or purchasing opportunity will meet every subjective expectation.

SECTION 6 — CUSTOM PROJECTS, DEPOSITS, AND APPROVALS

Custom and commissioned projects may require a design deposit, project deposit, membership payment, activation fee, sourcing fee, or other advance payment.

Unless otherwise stated in writing, deposits compensate Fioro International for services that may include consultation, design development, product sourcing, research, project administration, CAD work, rendering, production preparation, manufacturer coordination, material reservation, and allocation of internal resources.

Deposits and fees may be nonrefundable once work has begun, resources have been committed, materials have been ordered, sourcing has commenced, designs have been delivered, or production has been authorized.

Project timelines are estimates and may be affected by design revisions, client response times, supplier availability, manufacturing complexity, material availability, shipping delays, customs, quality-control requirements, payment delays, or events outside our reasonable control.

You are responsible for carefully reviewing and approving all applicable project details, including:

  • Names, initials, dates, numbers, and spelling;

  • Measurements and sizing;

  • Metal type and color;

  • Gemstone selections;

  • Design proportions;

  • Engraving;

  • Logos, artwork, and intellectual property;

  • Shipping information; and

  • Any renderings, drawings, CAD models, mockups, or written specifications.

Once you approve a design, rendering, specification, or production authorization, changes may result in additional fees, delays, or the inability to alter the project.

Renderings, CAD images, sketches, photographs, samples, and mockups are visual representations and may differ from the final product because of scale, lighting, tolerances, material characteristics, manufacturing requirements, and production methods.

SECTION 7 — ACCURACY OF BILLING, SHIPPING, AND ACCOUNT INFORMATION

We reserve the right to refuse, limit, hold, review, or cancel any order, invoice, transaction, project, membership, or allocation.

Restrictions may apply to purchases associated with the same person, household, account, payment method, billing address, shipping address, email address, telephone number, device, or other identifying information.

We may refuse or cancel transactions that appear, in our judgment, to involve:

  • Fraud or unauthorized payment activity;

  • False or misleading information;

  • Resale or unauthorized distribution;

  • Sanctions or compliance concerns;

  • Unreasonable chargeback risk;

  • Pricing or system errors;

  • Product unavailability;

  • Harassment, abuse, or misconduct; or

  • A violation of these Terms.

If we modify, hold, or cancel a transaction, we may attempt to notify you using the email address, telephone number, billing information, or other contact information you provided.

You agree to provide current, complete, and accurate information for all inquiries, transactions, accounts, consultations, purchases, and projects.

You agree to promptly update your information, including your email address, telephone number, billing information, shipping information, payment method, and expiration dates, so that we can complete transactions and communicate with you.

You are responsible for ensuring that shipping and delivery information is correct before an item is dispatched. Additional fees may apply when an item must be rerouted, reshipped, recovered, or replaced because incorrect information was provided.

SECTION 8 — PAYMENT PROCESSING

Payments may be processed through independent third-party payment processors, banks, financing providers, invoicing systems, or financial institutions.

You authorize us and our payment providers to charge the payment method you provide for all amounts associated with an approved transaction, including applicable taxes, shipping, insurance, duties, fees, deposits, installments, and other agreed charges.

Unless otherwise stated, orders, projects, memberships, and allocations are not confirmed until required payment has cleared and been accepted.

We may provide access to third-party tools, platforms, applications, financing services, communication services, payment systems, scheduling systems, analytics services, shipping services, or other resources that we do not own or control.

You acknowledge that such tools may be provided “as is” and “as available,” without warranties, representations, or endorsements from us.

We will not be liable for damages arising from your use of an independent third-party tool or service, except where liability cannot legally be excluded.

Your use of third-party services is at your own risk and may be subject to the provider’s separate terms and policies.

Unless otherwise agreed in writing, you grant Fioro International a worldwide, nonexclusive, transferable, sublicensable, royalty-free license to use, reproduce, edit, adapt, publish, display, distribute, translate, and otherwise use your submissions for business, operational, editorial, marketing, promotional, and commercial purposes.

We are not obligated to:

  1. Maintain submissions in confidence, unless a separate confidentiality agreement applies;

  2. Pay compensation for submissions;

  3. Use a submission; or

  4. Respond to a submission.

We may monitor, edit, reject, or remove content that we determine is unlawful, threatening, abusive, defamatory, obscene, fraudulent, misleading, infringing, or otherwise objectionable.

If a transaction is canceled because of an error, we will issue any refund legally required for amounts paid toward the canceled transaction.

Purchasing a product does not transfer ownership of any intellectual-property rights relating to the product, design, brand, drawing, CAD file, process, photograph, or other protected material.

Unless expressly agreed in writing, Fioro International retains ownership of project concepts, unused designs, drawings, CAD models, renderings, prototypes, production files, manufacturing specifications, and related intellectual property created during a consultation or project.

SECTION 15 — PROHIBITED USES

In addition to other prohibitions contained in these Terms, you may not use the website, Services, or content:

  • For any unlawful or fraudulent purpose;

  • To solicit another person to commit an unlawful act;

  • To violate any applicable law, regulation, rule, or ordinance;

  • To infringe our intellectual-property rights or the rights of another party;

  • To harass, threaten, abuse, insult, defame, intimidate, or discriminate;

  • To submit false, deceptive, or misleading information;

  • To upload or transmit malware, viruses, or destructive code;

They supersede prior or contemporaneous communications, proposals, representations, and agreements concerning the same subject matter.

If there is a conflict between these Terms and a separately signed written agreement, the separately signed written agreement will control to the extent of the conflict.

Our failure to exercise or enforce a provision of these Terms will not constitute a waiver of that provision or any other right.

Any ambiguity in these Terms will not automatically be interpreted against the drafting party.
